Purchase Terms

1. Licence types

ProGen Search publishes premium intelligence reports under three licence tiers. Each tier grants specific, limited rights of use. All licences are non-exclusive, non-transferable, and revocable. The tier you purchase determines the permitted scope of internal and external use.

Individual Licence

Valid for a single named human purchaser only. You may use the report for personal reference within your employing company. Internal circulation, uploading to shared corporate drives, team sharing, copying, forwarding, extraction, publication, or redistribution of any part of the report is strictly prohibited without our prior written consent.

Enterprise Licence

Valid for unlimited internal seats within a single operating entity. For these terms, a single operating entity is defined as the specific corporate entity making the purchase, strictly excluding parent companies, subsidiaries, or external affiliates. Internal redistribution, excerpting for internal use, and sharing among direct employees of that specific entity are permitted. External distribution, citation in client-facing materials, or publication is strictly prohibited.

Investor and Bank Licence

Includes all rights granted under the Enterprise Licence, expanded to permit multi-fund or multi-team distribution within your specific banking, investment, or consulting institution. This tier additionally permits the citation of specific charts and findings in client-facing reports, pitches, and investor memos, provided that you clearly attribute the material by stating either "Source: ProGen Search Limited" or "Source: ProGen Search". You may not reproduce substantial sections of the report, lift full chapters, or resell our underlying data as a standalone product.

2. Intellectual property and AI restrictions

All intellectual property rights, including copyright, in the reports belong exclusively to ProGen Search Limited. You are purchasing a limited licence to use the content, not ownership of the content itself.

Furthermore, under no licence tier are you permitted to scrape, mine, or ingest our reports into any artificial intelligence system, large language model, or machine learning algorithm, whether for internal corporate use or external deployment. We reserve the right to immediately revoke your licence and terminate your access without a refund if we reasonably suspect that you have breached these usage restrictions.

3. Delivery and access

This is a digital product supplied immediately via an email download link after payment. If you are purchasing as a business, your order is final upon delivery.

If you are purchasing as a consumer, by completing your purchase you expressly request immediate access to the digital content. You acknowledge that, by doing so, you lose any statutory cancellation or cooling-off right that may otherwise apply, to the fullest extent permitted by applicable law.

4. Refunds and chargebacks

Because you receive immediate access to proprietary digital content, all purchases are strictly non-refundable once access has been granted. If you experience technical difficulties accessing your report, please contact us for a replacement link. If you initiate an unjustified credit card chargeback, we will treat this as a material breach of contract, resulting in immediate licence revocation and potential debt recovery.

5. Fees and taxes

All prices are stated in US Dollars (USD) and are exclusive of Value Added Tax (VAT) or applicable local sales taxes unless explicitly stated otherwise. Where we are legally required to collect tax, it will be calculated and added to your total at checkout based on your billing location. Business buyers are responsible for providing valid tax identification numbers and accounting for any reverse-charge tax obligations in their jurisdiction.

6. Nature of the content

Reports are provided for general informational and strategic purposes only and do not constitute legal, tax, investment, clinical, accounting, transaction, or other regulated professional advice. While we apply rigorous methodologies to our research, we provide the reports on an "as is" basis and make no representation or warranty that reliance on the reports will produce any particular commercial, strategic, or financial outcome. You assume full responsibility for any commercial, strategic, financial, or operational decisions made on the basis of our reports.

7. Limitation of liability and indemnity

To the fullest extent permitted by applicable law, ProGen Search Limited excludes all liability for any indirect, incidental, special, or consequential losses, including loss of profit, loss of revenue, loss of business opportunity, or investment losses arising from your use of the reports. In all other cases, our total aggregate liability to you arising out of or in connection with these terms is strictly limited to the total fees paid by you for the specific report giving rise to the claim.

You agree to indemnify and hold harmless ProGen Search Limited against any claims, liabilities, damages, or legal costs arising from your unauthorised distribution of the reports or your use of the reports in the provision of advice to third parties.

8. Data protection

We act as a Data Controller for the personal data you provide during purchase. We process your name, email address, and payment details to fulfil our contract with you and manage your licence securely. For full details on how we protect your data, please review our Privacy Policy.

9. General provisions

These terms constitute the entire agreement between you and ProGen Search Limited regarding your purchase. If any part of these terms is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right does not constitute a waiver of that right. No third party has any right to enforce these terms.

10. Governing law and jurisdiction

These terms are governed by the laws of England and Wales. Any dispute arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. However, we retain the right to seek immediate injunctive relief in any competent jurisdiction to stop intellectual property infringement. If you are legally classified as a consumer, this clause does not deprive you of any mandatory consumer protections granted by your country of residence.
